Note that using Time Machine for making backups of your virtual machines is not safe. You can make a backup of the VM by making a copy of the virtual machine bundle with the VM shut down - not suspended- and best with VMware Fusion not running. Also note that you should shut down your VMs and it is also best if you commit any open snapshots before you upgrade. Like Scott says: it is always a good idea to make a backup of your VMs before you upgrade. You can however not open the newer style virtual machine with an older version of VMware Fusion, unless you first downgrade that virtual hardware. Using the newer virtual hardware gives you extra features and a better match with the newer VMware Fusion. It will however ask you to upgrade to newer virtual hardware. The newer VMware Fusion can open your old virtual machines without any issues. Your old MS Office OTOH can have trouble opening documents made with the newer MS Office. You can open new and existing documents with your new MS Office. The way this is often explained is that you upgrading Microsoft Office will not break your existing documents.
